Terms of Service

These Terms govern your use of Sheetsmith (the "Service"), operated by HAP-E Ltd ("we", "us", "our"). By creating an account or using the Service you agree to these Terms.

1. The Service

Sheetsmith generates structured Microsoft Excel workbooks from natural-language descriptions, and audits and rebuilds existing workbooks you upload. We may change, add to, or remove features over time.

2. Account and eligibility

You must be at least 16, provide accurate information, and keep your sign-in credentials confidential. You are responsible for activity under your account.

3. Acceptable use

You agree not to misuse the Service, including:

  • Unlawful activity, fraud, spam, or harassment;
  • Uploading content you do not have the right to use;
  • Reverse engineering, scraping, probing, or attempting to disrupt or gain unauthorized access to the Service;
  • Reselling or redistributing the Service or its outputs as a competing product.

4. Your content

You retain ownership of files you upload and workbooks you generate. You grant us a limited license to host and process this content solely to provide the Service. We do not sell your content. Generated workbooks may contain sample data that you must replace before relying on the output operationally.

5. AI outputs

Sheetsmith uses generative AI to propose workbook structures. Outputs can be inaccurate or incomplete. You are responsible for reviewing and validating any workbook before using it for compliance, financial, medical, legal, or other regulated purposes. The Service is not professional advice.

6. Subscriptions and payments

Free accounts may build a limited number of workbooks per month. Pro plans are billed monthly or annually and renew automatically until cancelled. Payments, billing, tax, invoicing, cancellations, and refunds are handled by our reseller. See section 11.

7. Intellectual property

We retain all rights in the Service, including software, branding, documentation, and the underlying workbook templates and design system. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

8. Service level and warranties

We work hard to keep Sheetsmith available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where it cannot be excluded by law.

10. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. You may cancel at any time. On termination you may export your generated workbooks within 30 days; after that we may delete account data.

11. Payments by Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a subscription you also agree to Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms.

12. Governing law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer law in your country of residence provides otherwise.

13. Changes

We may update these Terms. Material changes will be notified in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
